The term Corporate Governance is used to indicate all of the rules and procedures which make up the system of direction and control of companies with share capital.

TBS Group, although not bound by law, complies with several regulations of the Self-Regulation Code of quoted companies, approved by the Italian Stock Exchange in March 2006.

TBS Group's governance structure is made up of the following organs:

• Shareholders' Meeting
• Board of Directors
• Board of Statutory Auditors
• Independent Auditing Firm
